Jurisdiction: These Terms are governed by the laws of India. Courts at Mumbai, Maharashtra, shall have exclusive jurisdiction, subject to any mandatory arbitration clause agreed in a separate written contract.
These Terms & Conditions (“Terms”) govern access to this website and the formation and performance of commercial engagements between Zeparines International (“Company”, “we”, “us”) and buyers, suppliers, agents, and other business counterparties (“you”). By using this website or requesting a quotation, you confirm that you act in a business capacity and agree to these Terms.

1. Scope and precedence
1.1 Website vs contract
Website content, brochures, and email correspondence are invitations to treat unless expressly stated otherwise. A binding contract arises only on execution of a written order confirmation, pro forma invoice, or formal agreement signed or accepted by authorised representatives of both parties.
1.2 Conflict
If any specific written contract conflicts with these Terms, the written contract prevails to the extent of the inconsistency.
2. Quotations, specifications, and samples
2.1 Validity
Unless stated on the quotation, prices and availability are indicative and valid for the period stated therein. Taxes, duties, freight, insurance, and banking charges are estimated only; final amounts depend on shipment data and applicable law at the time of supply.
2.2 Specifications
You are responsible for confirming product specifications, HS codes, packaging, shelf life, and regulatory suitability for the destination market. Approved samples, if any, form part of the quality benchmark only if referenced in the written contract.
3. Delivery, title, and risk (Incoterms)
3.1 Incoterms
Delivery, risk transfer, insurance, and export/import clearance obligations follow the Incoterms® rule stated in the contract (e.g. FOB, CIF, CFR, EXW, DAP). If none is stated, parties will negotiate in good faith prior to shipment release.
3.2 Documentation
Standard commercial documents (commercial invoice, packing list, bill of lading or airway bill, certificate of origin where agreed) are issued as per contract and banking requirements. Additional certificates may attract time and cost, to be agreed in writing.
4. Payment, taxes, and set-off
4.1 Payment instruments
Unless otherwise agreed, we may require advance payment, letter of credit, or documentary collection structures suitable to the transaction size and jurisdiction. Bank charges are borne as agreed in writing.
4.2 Taxes
GST and other statutory levies in India are charged or treated as per applicable law and the agreed supply chain. Cross-border withholding or import VAT/GST at destination is generally the responsibility of the importer unless the contract states otherwise.
5. Compliance, sanctions, and ethics
5.1 Trade controls
Each party warrants that it is not subject to prohibitions that would prevent lawful performance and will comply with applicable export control, sanctions, anti-money-laundering, and customs laws.
5.2 Anti-corruption
Facilitation payments, mis-declarations, or false certificates are prohibited. Either party may terminate engagements that expose it to regulatory or reputational risk upon written notice where legally permissible.
6. Limitation of liability
6.1 Exclusion
To the maximum extent permitted by law, we exclude liability for indirect, consequential, or punitive loss, loss of profit, or loss of goodwill arising from website use or performance of trade services except where caused by our fraud or wilful misconduct.
6.2 Cap
Where liability cannot be excluded, our aggregate liability arising out of or in connection with a specific contract shall not exceed the fees actually received by us under that contract in the six (6) months preceding the claim, unless a higher cap is set in writing.
7. Miscellaneous
7.1 Notices
Formal notices should be sent to the email address published on the Contact page and will be deemed received on the next business day if sent during business hours IST.
7.2 Amendments
We may update these Terms periodically. The “last updated” date at the top of this page will change accordingly. Material changes to ongoing contracts require mutual written agreement.
